This template Commission Agreement – Language Resource (Agreement) is to be used when a person or organisation (Commissioner) wishes to commission an Indigenous Language Centre to develop a language resource (Resource). The Resource may be used ‘as is’ or may be used in the production of new material (Larger Work), produced by or for the Commissioner.

Under this Agreement the Language Centre agrees to develop the Resource, and will engage artists, authors or other members of the community (Creators) in the development of the Resource.

This Agreement has been drafted on the assumption that the Creators will retain ownership of the copyright in the Resource (if it is solely the work of a Creator) or those parts of the Resource that they have developed. It is also suitable if the Language Centre is creating a new work utilising the works of various creators, in which event the Language Centre is the copyright owner. If the Language Centre is not the copyright owner of all elements of the Resource, it must have the right to licence the use of the Resource or the relevant elements. A suitable template copyright licence can be obtained from Arts Law.

This Agreement also assumes that the Commissioner will use the Resource primarily for educational and cultural awareness training purposes. Although it will be suitable if commercialisation is only incidental to the Purpose i.e. recovery of costs. This Agreement is not appropriate if royalties are paid by the Commissioner for use of the Resource. If payment is by some form of royalty mechanism you should seek further legal advice or contact Arts Law.
